These Terms of Use ("Terms") govern your access to and use of the Projectmaven website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

4. Content & Ownership

Your Content

You retain ownership of the inputs and project information you provide to the Service ("User Content"). You grant Projectmaven a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content as necessary to operate and improve the Service.

AI-Generated Outputs

Subject to these Terms and any applicable third-party model provider terms, you may use the outputs generated for you through the Service for your business or projects. It is your responsibility to review outputs for accuracy, compliance, and fitness for purpose before relying on them.

Projectmaven Content

The Service, including software, design, features, documentation, and trademarks, is owned by Projectmaven or its licensors. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works based on the Service.

5. Subscriptions, Fees & Trials

If you subscribe to a paid plan:

• Fees and billing cycles are specified at the time of purchase
• You authorize us and our payment processor to charge the applicable fees
• Plans may automatically renew unless you cancel before the renewal date
• We may adjust pricing or plan features from time to time; where required, we will provide notice in advance

6. Beta Features & Availability

Some features may be released as "beta" or "experimental." These features are provided "as is," may change without notice, and may have limited availability or stability.

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation.

7. Disclaimers

The Service and all outputs (including scopes, estimates, SOWs, and PRDs) are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of accuracy, fitness for a particular purpose, non-infringement, or merchantability.

You are responsible for validating outputs before using them in production, legal, financial, or other sensitive contexts.

8. Limitation of Liability

To the maximum extent permitted by law:

• Projectmaven will not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profits or data, arising out of or related to your use of the Service
• Our total liability for any claim arising from or relating to the Service will not exceed the amount you have paid to us for the Service in the 3 months preceding the event giving rise to the claim (or $100 if you have not paid any amounts)

Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply only to the extent permitted.

9. Indemnity

You agree to indemnify and hold harmless Projectmaven, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if:

• You materially breach these Terms
• You misuse the Service or create legal or security risks
• We discontinue the Service

Upon termination, your right to use the Service ends, but certain sections of these Terms (including ownership, disclaimers, limitation of liability, and indemnity) will continue to apply.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, and any disputes will be resolved in the state or federal courts located in California, USA, unless otherwise required by applicable law.
